Terms of use
The rules for using the Floorshow website, its forms and the sign-in pages for venue staff and agents.
1. About these terms
These terms are an agreement between you and Floorshow (“we”, “us”). They cover this website, its demo, fee-check and agent forms, and the sign-in pages for venue staff and agents (together, the “Site”). By using the Site you agree to them. If you use the Site for a business, you confirm you’re allowed to accept these terms for it.
Other agreements come first for the services they cover. A venue’s signed order form and venue terms govern our ticketing service for that venue, and an agent’s signed agent agreement governs the agent program. Guests buying tickets agree to the guest terms shown at that venue’s checkout. Where one of those agreements and these terms differ, that agreement wins.
2. Using the site
You may use the Site to learn about us, ask for a demo or a fee check, apply to be an agent, and sign in to tools you’ve been given. Please don’t:
- copy, scrape or harvest the Site or anything behind sign-in, including with bots or other automated tools, except search engines indexing public pages;
- try to reach accounts, data or systems you haven’t been given, test our security without our written permission, or interfere with how the Site works;
- give false information, pretend to be someone else, or submit another person’s details without their permission;
- use the Site to send spam or to collect information about other people;
- use the Site, or anything you see behind sign-in, to build or improve a competing product; or
- break the law.
3. Accounts and sign-in
Venue staff and agents sign in with one-time codes we send to their email. Keep access to that email secure, don’t share codes, and tell us right away if you think someone else has used your account. You’re responsible for what happens under your account. We may suspend access we reasonably believe is being misused, and we’ll tell you why unless the law or security prevents it.
We may give a prospective agent preview access to the agent portal, its materials and practice clubs before an agent agreement is signed. Preview access is a courtesy we can end at any time. It doesn’t make anyone an agent and gives no right to commission. Practice clubs take practice payments only.
Materials in the agent portal and anything else behind sign-in are our confidential information. Use them only for the purpose we gave them to you, and don’t pass them on.
4. Forms and fee checks
Sending a form doesn’t create a contract or oblige either of us to do anything. We may decline a request or an application without giving a reason.
A fee check is an estimate based on what you tell us and the assumptions we state with it. What you actually pay and keep depends on your sales, prices, refunds, cards and other things we don’t control. Only your signed order form sets our fees.
5. What the site says
We work to keep the Site accurate, but it’s general information, not an offer. Features, prices and availability can change. Anything marked “Coming soon” is a plan, not a promise. The rooms, shows, people and numbers in our examples are made up to illustrate how things work. Nothing on the Site is legal, tax or financial advice.
6. Agents
What the Site says about the agent program describes it in general terms. Agents are independent contractors. Nothing on the Site is an offer of employment, a promise of income or a guarantee of earnings, and commission is paid only under a signed agent agreement. Our agent program terms say more.
7. Our intellectual property
The Site and its design, text, graphics and software, and the Floorshow name and logo, belong to us or our licensors. Floorshow™ is our trademark. You may view and print pages for your own business use and link to our home page. Please don’t use our name or logo in a way that suggests we endorse you or work with you unless we’ve agreed in writing.
Other names on the Site, such as Stripe, belong to their owners. Mentioning them doesn’t mean they endorse us or that we endorse them.
8. What you send us
You keep ownership of what you send us, such as form answers, floor plans, photos and statements. You give us permission to use it to reply to you, prepare demos and fee checks, consider your application and run our business as our privacy policy describes. Please send only what you have the right to share. If you send us ideas or feedback about our products, we may use them freely without owing you anything.
9. Other services
The Site links to and relies on services we don’t control, such as Stripe for payments and Google Fonts for type. Their own terms and privacy policies apply to them, and we aren’t responsible for them.
10. Disclaimers
The Site is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Site will be uninterrupted, error-free or secure.
11. Limits on liability
To the fullest extent the law allows, we won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site, and our total liability for any claim about the Site is limited to one hundred U.S. dollars ($100).
This section doesn’t limit liability that the law doesn’t allow to be limited, and it doesn’t change the liability terms of a signed venue or agent agreement, which control for those services.
12. Indemnity
If you use the Site for a business and your misuse of it or your breach of these terms leads to a claim against us, you’ll cover our reasonable losses and costs from that claim, including reasonable attorneys’ fees.
13. Ending access
We may suspend or end access to the Site or to an account for a breach of these terms, or to protect the Site, its users or others, or to follow the law. Sections 4 to 15 continue to apply afterwards.
14. Law and disputes
Texas law governs these terms, without regard to its conflict-of-laws rules. Before either of us files a claim about the Site, we’ll give the other written notice and 30 days to try to resolve it. Claims go to the state or federal courts in Texas, and you and we agree to their jurisdiction, unless the law where you live gives you the right to bring a claim somewhere else.
15. General
These terms, together with any agreement named in section 1, are the whole agreement about the Site. If part of them can’t be enforced, the rest still applies. If we don’t enforce a part, we haven’t given it up. You may not transfer these terms; we may transfer them as part of a merger, sale or reorganization. We may update these terms; the date at the top shows the latest version, and changes apply from when they’re posted. If a change is significant and you have an account, we’ll tell you by email.
